See for example : http://regional-economic-communities.info/ Shared Financing of Community-Based Businesses * By SELC <http://www.shareable.net/users/sustainable-economies-law-center>* * * * * * * A Kickstarter campaign to reopen the New Parkway Theater in Oakland exceeded its goal. Photo by Fragmentary Evidence<http://www.flickr.com/photos/fragmentaryevidence/3385066227/> on Flickr, used under a Creative Commons license. Why would someone buy $1000 worth of lattes from a coffee shop that doesn’t exist? Either they care a lot about caffeine or they care a lot about community. In this particular true story, it was probably both. Keep reading, and you’ll find out how a group of coffee connoisseurs had a financial hand in the nurturing one locally-owned alternative to You-Know-Who-Bucks. Businesses usually need financing to start up, operate, and grow. When small local businesses can get this financing from community residents, everyone wins – wealth stays local, community investors are committed to the business’ success, and the business is more accountable to the community. Are you ready to live in a world where community members can share in the financing and ownership of local businesses? If so, here’s your first step: learn a little about securities laws. And please don’t stop reading just because I dared to utter something so arcane-sounding as “securities laws.” Try saying it yourself a few times. Maybe even turn to a person near you and declare: “Securities laws could not be more relevant to the creation of awesome local economies! Why are you staring at me like that? It’s true!” Now you are ready for Securities Law 101. You are about to learn about ways to raise local capital within the law, ways that securities laws create irritating barriers to community investing, and what some folks are doing to change that. *Money wall in Oatman, Arizona. Photo by cobalt123<http://www.flickr.com/photos/cobalt/425231414/> on Flickr*. *What is a security and why does it matter?* A security is basically any scheme in which a person invests money in an enterprise with the expectation of receiving profits from the efforts of others. The most well known type of security is stock in a corporation. But lots of other things also fall within the definition, including unsecured loans, interests in limited liability companies, agreements to pay a share of the profits to an investor, etc. Under some states’ laws, even a membership in a club when the member has no expectation of sharing in profits may be considered a security. If something falls within the definition of a security, it will be covered by a complex set of state and federal laws and regulations that require filings, fees, and disclosures often before even a single offering of a security can be made. The good news is that there are ways to raise money without falling within the definition of a security. And, if that’s not possible, raising capital within the securities laws can be done with a little planning and effort. *Raising Money Without Securities* *Donations*. A security creates an expectation that the investor will receive a financial return. If someone gives money to a business with no expectation of a return, securities regulations do not apply. Many entrepreneurs (and others) are using so-called crowdfunding web sites such as Kickstarter <http://www.kickstarter.com/> andIndiegogo<http://www.indiegogo.com/> to raise money for various causes. Entrepreneurs that solicit donations often provide non-monetary rewards to donors. For example, a recent successful raise on Kickstarter for the New Parkway Theater in Oakland (a formerly popular theater raising money to reopen) offered the following: Pledge $25 or more: Five free showings at the New Parkway Theater. Pledge $50 or more: Two tickets to the theater, a pitcher of beer, a pizza, and a RESERVED loveseat. Pledge $100 or more: Ten free showings at the New Parkway Theater and a +1 pass to the Grand Reopening Party. This campaign raised $56,832, exceeding their goal. At what point might a reward be valuable enough that it could be seen as a financial return on investment? This issue has yet to be tested, but it is advisable to ensure that any rewards offered are valued at less than the amount donated. *Pre-selling*. Two entrepreneurs wanted to open a high quality, environmentally responsible café in downtown Oakland. They got the word out to the community about their idea. Then they sold Café Creator cards – gift certificates for the yet-to-open café. Arguably, because the entrepreneurs were selling gift certificates for coffee and pastries and not an investment with a financial return, the Café Creator cards were not securities. Awaken Café <http://www.awakencafe.com/>launched and has been a huge hit in Oakland. *Latte art at Awaken Café in Oakland. Photo by shanan<http://www.flickr.com/photos/shanan/3370714571/> on Flickr.* *Return of principal only*. If a company promises to return nothing more than the original investment amount without any additional dividend, interest, or appreciation in value, the instrument being offered is probably not a security. This is how Kiva, the popular microfinance web site, avoids having to comply with securities laws. *Product discounts*. Companies like Costco sell memberships in exchange for product discounts received at the time of purchase. Another interesting model is REI. REI is a consumer cooperative that sells memberships to its customers. At the end of the year, REI members receive a “dividend” based on the amount spent at REI during the year. REI takes the position that its memberships are not securities because what members are really buying is the right to receive discounts on the items they purchase – not at the time of purchase like at Costco, but at the end of the year in the form of a rebate check. *Other Strategies Within the Securities Laws* It can be hard to find people to invest in a business without offering any kind of financial return. If you want to offer a financial return of any kind, you will probably have to deal with securities laws. A detailed description of the options is beyond the scope of this article, but it is possible to do the following without extensive legal compliance work: - A private offering (no advertising) to a limited number of people (depending on the state, you can often have as many as 35 non-wealthy investors and an unlimited number of wealthy investors (at least $100 million in net worth or $200,000 annual income) - An offering of cooperative memberships (this is only available in some states) - A public offering of up to $1 million to up to 500 investors (with no wealth requirement) after receiving approval from the state of a detailed disclosure document. *Grassroots Efforts to Promote Shared Community Investing* A group of community residents in Port Townsend, Washington, started an organization called LION (Local Investing Opportunity Network)<http://www.l2020.org/index.php?page=investing-opportunities>. Taking advantage of the law in Washington which says private offerings to a limited number of non-wealthy people are okay, LION brings together community residents looking to invest locally with local entrepreneurs. LION doesn’t vet the businesses or provide any of the legal documents needed to make an investment; it simply brings the parties together in a way that is legal under Washington securities laws. This model is spreading to other states.Wisconsin recently set up a LION <http://lioninvesting.com/>. *Port Townsend, WA. Photo by Kris Taeleman<http://www.flickr.com/photos/97943624@N00> on Flickr*. Under California law, LION-like groups are not allowed. Under California’s private offering rules, no offering of securities can be made without “a relationship consisting of personal or business contacts of a nature and duration such as would enable a reasonably prudent purchaser to be aware of the character, business acumen, and general business and financial circumstances of the person with whom such relationship exists.” In other words, unlike in Washington, there must be a substantial pre-existing relationship before any investment opportunity can be discussed. Some local nonprofits in the Oakland, California area have created a Community Capital Working Group – a forum where residents of the area can strategize about how to encourage more local investing within the law. Finally, Sustainable Economies Law Center <http://www.theselc.org/>, a nonprofit that I co-direct with Janelle Orsi, is working on changing the state and federal law to exempt very small investments from the securities laws. You can read about our efforts at crowdfundinglaw.com and read our petition here <http://www.sec.gov/rules/petitions/2010/petn4-605.pdf.> [PDF]. *Final Words* It’s important to be aware of securities laws, but don't be intimidated by them. The movement to make it easier for small businesses to raise capital from their communities is growing. A new book called *Locavesting* was just published and congressional hearings on the issue have been held. Get involved and help keep community wealth local! *This article was written by Jenny Kassan; the Intro was written by Janelle Orsi. What a history, a deeply chequered history.... but an achievement we can now look back on! Today marks a truly big milestone for us all… ! Those sixty years required a lot of hard, reliable work … many different lives came and went during all those years for there was good work, good innovation... work to keep up Scott Bader‘s standards and reputation, especially to please and supply our customers *and* always in competition with some of the largest chemical companies in the world (some of *them* no longer exist ) but we do ! ! ! ! SO deep thanks to those who were involved… are still involved or newly involved AND we can all say… we were.. we are… proud to be involved … *This *is now the excitement and the joy in today’s celebration on reaching April 2011. ALIVE and KICKING ! ! .. FOR… It would never have been achieved without the creation and founding of the Commonwealth, and everyone‘s dedication and hard work for the creation of the Commonwealth to provide and to hold us where we are today! a strong foundation for all our companies world wide… AND ….as so well illustrated on the covers of our new Constitutional Booklet ! Now a little history. After the second world war,... and our move from London (Kingsway offices & Stratford plant.. to Wollaston 1940) we were joined by new people, many from the forces, all agreeing "never again!" We felt strongly that the roots of violence must be removed from the world. We felt that just saying ’no’ to war was too late and not enough. The unhealthy growth of greed and selfishness in the business world was developing. We wished to work for peace not only between countries, but in relationships between all people, personally, face to face, especially within the workplace. People *earning *their living decently and building wealth and security in common on a firm basis together. We had learned to work together during the war. We wanted to work together for peace….we wanted a new society…one living out what the early Quakers had said….. we must "learn to live in that power and life that takes away the very occasion of war" (George Fox..1651 ! An early Quaker Founder ) and further than that vital need… to contribute to building an economic system that does not require any man or woman to be thrown out of employment to suit the system ! That was our post-war dream!..( an altogether better world.. and we would show the way ! ) In particular my father Ernest wanted to teach his workers how to develop the responsibility and freedom he had achieved for himself, so they could help to decide their own future, within a stable working company. But it was not easy to conceive and build our Commonwealth. The total conversion of the 30 year old private family company took time and many head aches too. It took a strike and three attempts at restructuring, during which three top executives left us to go to South Africa with our formulations, before we worked out the right way to forge an organization on a basic democratic structure: to respond and to serve each other’s need - as wisely and responsibly as is possible in the world of work. The company would no longer belong to the Bader family for their own wealth and control. It was to be Common Wealth. ( When the final papers were signed in a London lawyers office he saw the smiles on our faces and said "Gentlemen... I must remind you that the invitaton cards to the funeral of capitalism have not yet been issued ! ) So the Commonwealth was finally founded in April 1951, and uniquely registered as a charity to take over the original Scott Bader company. This neutralised all the shares and safeguarded us from being taken over by anyone else. It was given into the hands of those in the workforce that, having a normal contract with the operating company - signed up and committed themselves to a deeper undertaking - a covenant with the Commonwealth, undertaking not only responsibility for the company assets, but also for the fundamental purposes of the Commonwealth, to develop their own livelihood but also to serve the wider community - the world, and bring about an altogether better way of living for themselves and for coming generations - like us! HOW ARE WE DOING….? SIXTY YEARS LATER ! ? ? Don't forget we have to report our progress to the Charity Commission. One little story …… I once had the pleasure of telling an American in London that he could not buy us - he even followed me back to my car saying *‘but don’t you know it’s dollars - it’s dollars!’ *. Just think, you might have been working for an American company !.. Or probably not working at all ! So far the development and establishment of our truly international Common Trusteeship company, with its organisation of offices and manufacturing companies around the world, is certainly a unique achievement - most assuredly as it is now, with our democratic Members’ Assembly at the centre - learning to be the strong beating heart of our organisation. And it is real and in action. It has full recognition in the publication of our new constitutional documents (after 2 years of thoughtful and extensive consultation) so we now have the legal guidance in our hands to take us confidently forward. Our Commonwealth has very recently been publicly recognised again, in a letter in a leading London newspaper (F.T.) describing us as ‘a hybrid organisation’ and, in a leading academic business journal (Elsevier), as having less ‘Moral Debt’ (alongside the JLP ! ! ! too ) compared to other "normal" companies, notably those that are fought and gambled with on the stock exchange…(gambling with their workers’ lives too !) as Kraft has done with Cadbury's recently. We have to learn to hold our world and its resources in common and in trust. We do not own the sun, the rain, the air we breathe, or the earth we live on and from. ( Gandhi ) We *are *beginning to respect them: we need to be united in our responsibility for all our world’s resources ..our minerals and oil and what we have created from them - wherever we live or work. We should use them "in common" like a good family would, and I hope we will with ours - our Commonwealth ! ……..Let us not forget minerals & oil are capital & should NOT be spent as income ( Schumacher) ! Recently an article in the widely read ‘Time’ magazine, hinting at similar thinking… finished with these words …..‘Don’t blow it! Good planets are hard to find!’ So.. moving forward.. with these 60 years behind us our company surely has the experience now, the strength, the desire, and much deeper drive and confidence behind it to brave this our 21st century. Thank goodness we are now more broadly based in the world than most of us in the last century ever expected… and our worldwide companies have given us wider horizons to excite us, and stimulate our outlook, and to make more imaginative progress across the world…. your current goal ! In order to mark this special occasion, and for future generations to know you were here, I would now like to invite all of you to join me and sign the declaration to reconfirm your commitment to the purpose for which the Commonwealth was founded… … as was done in 1951.. (and once or twice at other milestones in our constitutional developments !) -- P2P Foundation: http://p2pfoundation.net - http://blog.p2pfoundation.net Connect: http://p2pfoundation.ning.com; Discuss: http://lists.ourproject.org/cgi-bin/mailman/listinfo/p2p-foundation Updates: http://del.icio.us/mbauwens; http://friendfeed.com/mbauwens; http://twitter.com/mbauwens; http://www.facebook.com/mbauwens

---------- Forwarded message ---------- From: Dante-Gabryell Monson <dante.monson(a)gmail.com>Subject: [Open Manufacturing] CERN's open hardware license ------------------------ From: *Bryan Bishop* <kanzure(a)gmail.com> Date: Thu, Jul 7, 2011 at 7:03 PM To: Open Manufacturing <openmanufacturing(a)googlegroups.com>, Bryan Bishop < kanzure(a)gmail.com>, diybio <diybio(a)googlegroups.com> http://press.web.cern.ch/press/PressReleases/Releases2011/PR08.11E.html <http://press.web.cern.ch/press/PressReleases/Releases2011/PR08.11E.html>""" CERN launches Open Hardware initiative Geneva, 7 July 2011. Four months after launching the alpha version, CERN1<http://press.web.cern.ch/press/PressReleases/Releases2011/PR08.11E.html#foo…> has today issued version 1.1 of the Open Hardware Licence (OHL), a legal framework to facilitate knowledge exchange across the electronic design community. In the spirit of knowledge and technology dissemination, the CERN OHL was created to govern the use, copying, modification and distribution of hardware design documentation, and the manufacture and distribution of products. Hardware design documentation includes schematic diagrams, designs, circuit or circuit-board layouts, mechanical drawings, flow charts and descriptive texts, as well as other explanatory material. Version 1.0 of the CERN OHL was published in March 2011 on the Open Hardware Repository (OHR), the creation of electronic designers working in experimental-physics laboratories who felt the need to enable knowledge-exchange across a wide community and in line with the ideals of "open science" being fostered by organizations such as CERN. "For us, the drive towards open hardware was largely motivated by well-intentioned envy of our colleagues who develop Linux device-drivers," said Javier Serrano, an engineer at CERN's Beams Department and the founder of the OHR. "They are part of a very large community of designers who share their knowledge and time in order to come up with the best possible operating system. We felt that there was no intrinsic reason why hardware development should be any different." The CERN OHL provides a framework for knowledge exchange that reconciles open design principles with traceability with a clear policy for the management of intellectual property. "The concept of 'open-source hardware' or 'open hardware' is not yet as well known or widespread as the free software or open-source software concept," said Myriam Ayass, Legal Advisor for CERN's Knowledge Transfer Group. "However, it shares the same principles: anyone should be able to see the source (the design documentation in case of hardware), study it, modify it and share it." "The CERN OHL is an exciting achievement, with the potential of being the lead licence for new hardware projects, like the GNU GPL has been for free software," said Alessandro Rubini, Free Software developer and co-author of "Linux Device Drivers". "Version 1.1 integrates feedback received from the community in order to follow generally accepted principles of the free and open source movements," said Ayass, "and purports to make the CERN OHL even more easily usable by entities other than CERN". "By sharing designs openly," said Serrano, "CERN expects to improve the quality of designs through peer review and to guarantee their users - including commercial companies - the freedom to study, modify and manufacture them, leading to better hardware and less duplication of efforts." "CERN efforts to build an ecosystem for Open Hardware certainly bode well for more Freedom in the digital space," said Carlo Piana, Digital liberties advocate and General Counsel of the Free Software Foundation Europe (FSFE). A workshop on Open hardware is scheduled to be held in Grenoble on the 9th October 2011, during the 13th International Conference on Accelerator and Large Experimental Physics Control Systems. Re: [P2P-F] "Le travail dans la sortie du capitalisme" - Jean Zin

I actually disagree with Jean Zin when he says that there is 'only localization' and not other forms of 'alterglobalization' that are in our interests ... as christian arnsperger says, 'selective localization, responsible deglobalization' (or the other way around?) ... there must be room not just for global immaterial commons, but also for global economic phyles .. illegalizing crowdfunding in Europe
by Michel Bauwens 09 Jul '11

has anyone heard of a EU report or commission investigating 'crowdfunding' as 'banking' practice, thereby inviting regulations to interdict it? just a rumour for now, but if you've seen a reference, thanks for forwarding, Michel -- P2P Foundation: http://p2pfoundation.net - http://blog.p2pfoundation.net Connect: http://p2pfoundation.ning.com; Discuss: http://lists.ourproject.org/cgi-bin/mailman/listinfo/p2p-foundation Updates: http://del.icio.us/mbauwens; http://friendfeed.com/mbauwens; http://twitter.com/mbauwens; http://www.facebook.com/mbauwens
